Terms of Service

Welcome to Ruckus Instruments. These Terms of Service ("Terms") govern your access to and use of our website, products, digital downloads, and related services (collectively, the "Services").

By accessing our website, purchasing our products, downloading digital content, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

1. ELIGIBILITY

You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase products from our website.

By placing an order, you represent and warrant that you have the legal capacity to enter into these Terms.

2. PRODUCTS

Our products consist primarily of downloadable digital audio sample libraries, virtual instruments, presets, documentation, and related digital content.

Unless expressly stated otherwise, all products are delivered electronically. No physical goods are shipped.

3. KONTAKT REQUIREMENTS

Certain products require Native Instruments Kontakt or Kontakt Player.

Each product page identifies the required software version and whether the product supports the full version of Kontakt or the free Kontakt Player.

It is your responsibility to verify compatibility before purchasing. We are not responsible for incompatibility resulting from unsupported operating systems, hardware, DAWs, or software versions.

4. MERCHANT OF RECORD AND PAYMENT PROCESSING

Purchases made through our website are processed by Paddle.com Market Limited and its affiliates ("Paddle"), which acts as our Merchant of Record.

As Merchant of Record, Paddle is responsible for:

• Processing payments.
• Collecting and remitting applicable sales taxes, VAT, GST, and similar taxes where required.
• Performing fraud prevention and payment verification.
• Issuing invoices and payment confirmations.
• Securely processing payment information.

When you purchase a product, your payment is processed by Paddle in accordance with Paddle's Terms and Privacy Policy.

We do not receive or store your complete payment card information.

5. LICENSE

Subject to payment in full and your continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the purchased products solely for your own musical and audio productions.

You may:

• Use the sounds in commercial and non-commercial musical works.
• Use the sounds in film, television, games, podcasts, advertising, streaming, and other audiovisual productions.
• Modify sounds for incorporation into your own original productions.

You may not:

• Redistribute, resell, share, sublicense, rent, lease, or otherwise transfer any product.
• Upload products to file-sharing services.
• Make the raw samples available to third parties.
• Use the products or their contents to create another sample library, virtual instrument, preset collection, sound effects library, or competing product.
• Circumvent copy protection or licensing mechanisms.

Ownership of all intellectual property remains with the Company and its licensors.

6. DIGITAL DELIVERY

Following successful payment confirmation from Paddle, purchased products will be made available for download or otherwise delivered electronically.

Download availability may be subject to reasonable limits or expiration periods. Customers are encouraged to maintain their own backup copies of purchased products.

While we make reasonable efforts to maintain download availability, we do not guarantee perpetual hosting of digital downloads.

7. PRICING AND TAXES

Prices are displayed in the currency presented during checkout.

Applicable taxes may be calculated and collected by Paddle as Merchant of Record in accordance with applicable law.

We reserve the right to modify prices at any time prior to purchase. Price changes do not affect completed orders.

8. REFUNDS

Our Refund Policy forms part of these Terms.

Because our products consist of digital content, purchases are generally non-refundable except as provided in our Refund Policy or where required by applicable law.

Customers located in the European Union or the United Kingdom may have statutory rights relating to digital content. Where applicable, purchases are made subject to the customer's express request for immediate delivery and acknowledgment that statutory withdrawal rights may be waived once digital delivery begins, to the extent permitted by law.

9. CUSTOMER ACCOUNTS

If you create an account on our website, you are responsible for:

• Maintaining the confidentiality of your login credentials.
• Keeping your account information accurate and current.
• All activity occurring under your account.

We reserve the right to suspend or terminate accounts involved in fraud, abuse, or violations of these Terms.

10. INTELLECTUAL PROPERTY

All products, recordings, software, documentation, website content, graphics, trademarks, logos, and other materials are owned by the Company or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Purchasing a product does not transfer ownership of any intellectual property rights.

11. PROHIBITED USES

You agree not to:

• Violate any applicable law.
• Reverse engineer products except where permitted by law.
• Remove copyright or proprietary notices.
• Attempt unauthorized access to our systems or services.
• Use automated means to interfere with our website.
• Engage in fraudulent purchases or abusive chargeback activity.

12. THIRD-PARTY SERVICES

Our Services rely on third-party providers, including:

• Wix, which hosts and operates our website infrastructure.
• Paddle, which acts as Merchant of Record and processes purchases.
• Other providers that assist with website operation, analytics, communications, security, and customer support.

Third-party trademarks remain the property of their respective owners.

Native Instruments and Kontakt are trademarks of their respective owners. Unless expressly stated, our products are independent products and are not endorsed by or affiliated with Native Instruments.

13. UPDATES

We may release updates, bug fixes, documentation revisions, or product improvements at our discretion.

Unless expressly stated, we are not obligated to provide future updates, upgrades, or new versions.

14. DISCLAIMER OF WARRANTIES

The Services and all products are provided "as is" and "as available."

To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that our Services will be uninterrupted, error-free, or compatible with every hardware or software configuration.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Company's aggregate liability arising out of or relating to these Terms or the Services shall not exceed the amount paid by you for the product giving rise to the claim.

To the fullest extent permitted by law, neither the Company nor its licensors shall be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, or business opportunities.

Nothing in these Terms excludes or limits liability where such exclusion is prohibited by applicable law.

16. INDEMNIFICATION

You agree to indemnify and hold harmless the Company, its owners, employees, contractors, licensors, and affiliates from claims, liabilities, losses, damages, and expenses arising from your misuse of the Services or violation of these Terms.

17. TERMINATION

We may suspend or terminate your access to the Services if you violate these Terms or engage in fraudulent, unlawful, or abusive conduct.

Termination does not affect any rights or obligations that accrued before termination.

18. PRIVACY

Your use of the Services is also governed by our Privacy Notice.

Information relating to payment processing is handled by Paddle in accordance with its own Privacy Policy. Additional information about how we collect and process personal information is available in our Privacy Notice.

19. GOVERNING LAW

These Terms are governed by the laws of the USA, without regard to its conflict of law rules.

Any dispute arising from these Terms shall be submitted to the courts located in the USA, except where mandatory consumer protection laws require otherwise.

20. CHANGES TO THESE TERMS

We may revise these Terms from time to time.

Updated Terms become effective upon publication on our website unless otherwise stated. Continued use of our Services after the effective date of revised Terms constitutes acceptance of those changes.

21. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

22. ENTIRE AGREEMENT

These Terms, together with our Privacy Notice, Refund Policy, and End User License Agreement, constitute the entire agreement between you and the Company regarding the Services.
