End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you ("Licensee," "you," or "your") and [Company Name] ("Company," "we," "our," or "us") regarding your use of our digital audio products, including sample libraries, Kontakt instruments, presets, recordings, software files, documentation, and related materials (collectively, the "Products").
By purchasing, downloading, installing, accessing, or using the Products, you agree to be bound by this EULA.
If you do not agree to this EULA, you must not download, install, or use the Products.
1. DEFINITIONS
"Products" means all digital audio content and related materials provided by the Company, including but not limited to:
• Kontakt instruments.
• Audio samples.
• Multisamples.
• Presets.
• MIDI files.
• Documentation.
• Software files.
• Other included digital assets.
"Audio Production" means an original musical, audiovisual, or sound-based work created by you in which the Product content is incorporated as part of a larger composition or production.
2. LICENSE GRANT
Subject to your payment in full and continued compliance with this EULA, the Company grants you a limited, non-exclusive, worldwide, perpetual, non-transferable license to use the Products for the creation of your own original Audio Productions.
This license grants you the right to incorporate sounds from the Products into your own creative works, including commercial and non-commercial productions.
You do not purchase ownership of the Products. You are purchasing a license to use the Products under the terms of this EULA.
3. PERMITTED USES
You may:
• Use the Products to create original music.
• Use the Products in songs, albums, films, television programs, advertisements, podcasts, video games, applications, online content, and other audiovisual works.
• Modify, edit, process, manipulate, layer, combine, or otherwise transform sounds from the Products as part of an Audio Production.
• Release and commercially exploit Audio Productions containing sounds from the Products.
• Use Audio Productions containing the Products without crediting the Company unless otherwise stated.
4. RESTRICTIONS
You may not:
• Sell, resell, sublicense, rent, lease, distribute, or transfer the Products.
• Share, upload, or make available the Products through file-sharing services, torrents, cloud storage, forums, or any other distribution platform.
• Provide the Products to another person, company, or organization.
• Extract individual samples or sounds from the Products and distribute them as standalone files.
• Create and distribute another sample library, sound pack, virtual instrument, preset collection, or similar product using the Products or substantially derived content.
• Use the Products to create a competing product.
• Claim ownership of the Products or individual sounds contained within them.
• Circumvent licensing, copy protection, authentication, or technical protection measures.
• Use the Products in a manner that suggests endorsement, sponsorship, or affiliation with the Company.
5. AI AND MACHINE LEARNING USE
Unless expressly authorized in writing by the Company, you may not:
• Use the Products or their contents to train, test, fine-tune, validate, or develop artificial intelligence or machine learning models.
• Include the Products in datasets intended for artificial intelligence, machine learning, or automated content generation systems.
• Use the Products to create AI-generated sample libraries, sound models, or competing audio products.
This restriction does not prevent you from using Audio Productions created with the Products as part of ordinary creative workflows, provided the Products themselves are not used as training material or source datasets.
6. OWNERSHIP AND INTELLECTUAL PROPERTY
The Products and all intellectual property rights therein remain the exclusive property of the Company and its licensors.
This EULA does not transfer ownership of any copyrights, trademarks, recordings, software rights, or other intellectual property.
All rights not expressly granted in this EULA are reserved by the Company.
7. LICENSE TERM AND TERMINATION
This EULA remains effective unless terminated.
The Company may terminate your license immediately if you breach any provision of this EULA.
Upon termination:
• You must stop using the Products.
• You must delete or destroy copies of the Products in your possession, where legally required.
• Any rights granted under this EULA will cease.
Termination does not affect rights granted to Audio Productions created before termination, provided those productions were created in compliance with this EULA.
8. BACKUPS
You may create reasonable backup copies of the Products solely for your personal use and protection against data loss.
Backup copies may not be shared, transferred, or used by another person.
9. MULTIPLE USERS AND COMMERCIAL ENTITIES
Unless otherwise stated, each license is granted to a single individual user.
A license purchased by an individual may not be shared across multiple users, teams, companies, studios, educational institutions, or organizations.
Businesses, studios, educational institutions, and other organizations requiring multiple users should contact the Company regarding appropriate licensing options.
10. THIRD-PARTY SOFTWARE REQUIREMENTS
Certain Products require third-party software, including Native Instruments Kontakt or Kontakt Player.
You are responsible for obtaining any required third-party software licenses.
The Company is not responsible for third-party software limitations, updates, compatibility issues, or changes to third-party products.
11. UPDATES AND SUPPORT
The Company may provide updates, fixes, improvements, or technical support for Products at its discretion.
Unless expressly stated otherwise, the Company is not obligated to provide updates or ongoing support.
12. DISCLAIMER OF WARRANTIES
The Products are provided "as is" and "as available."
To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, compatibility, and non-infringement.
The Company does not guarantee that Products will operate without errors on all systems or configurations.
13. LIMITATION OF LIABILITY
To the maximum extent permitted by law, the Company's total liability arising from or relating to this EULA shall not exceed the amount paid by you for the applicable Product.
The Company shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption.
Nothing in this EULA limits liability where such limitation is prohibited by applicable law.
14. INDEMNIFICATION
You agree to indemnify and hold harmless the Company, its owners, employees, contractors, licensors, and affiliates from claims, damages, losses, and expenses arising from:
• Your misuse of the Products.
• Your violation of this EULA.
• Your breach of any applicable law or third-party rights.
15. TRANSFER OF LICENSE
You may not assign, transfer, sell, or sublicense your license without the prior written consent of the Company.
The Company may assign this EULA or its rights and obligations to an affiliated company, successor, or purchaser of its business assets.
16. GOVERNING LAW
This EULA is governed by the laws of [Jurisdiction], without regard to conflict of law principles.
Any disputes arising from this EULA shall be resolved in the courts located in [Jurisdiction], except where mandatory consumer protection laws provide otherwise.
17. SEVERABILITY
If any provision of this EULA is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
18. ENTIRE AGREEMENT
This EULA, together with the Company's Terms of Service, Privacy Notice, and Refund Policy, constitutes the entire agreement between you and the Company regarding the Products.
In the event of a conflict between this EULA and the Terms of Service regarding product licensing rights, this EULA controls.
